The terms that apply to our services

1. General

These terms and conditions apply to all quotes, assignments and agreements between XAIT and the client. By accepting a quote or issuing an assignment, the client declares agreement with these terms.

2. Quotes and prices

All quotes are non-binding and valid for 30 days, unless stated otherwise.

Prices exclude VAT and other charges, unless stated otherwise. Monthly maintenance prices are indexed annually.

3. Execution of the assignment

XAIT will carry out the assignment to the best of its ability and with due care. Execution deadlines are indicative and not binding.

The client must provide all necessary information, content and materials in a timely manner. Delays resulting from late delivery are the client's responsibility.

4. Payment

The following payment terms apply to projects:

50% upon commissioning
50% upon delivery

Monthly maintenance fees are invoiced in advance. Invoices must be paid within 14 days of the invoice date.

5. Intellectual property

After full payment, the intellectual property rights of the delivered work transfer to the client, with the exception of underlying frameworks, libraries and reusable components developed by XAIT.

6. Warranty and maintenance

XAIT offers 30 days of free support after project delivery for resolving bugs and technical issues.

A monthly maintenance contract must be concluded for ongoing maintenance, hosting and support.

7. Liability

XAIT is not liable for indirect damages, consequential damages, lost profits or damages due to the unavailability or late availability of delivered services, unless there is intent or gross negligence.

8. Termination

Monthly maintenance contracts can be terminated by either party with 1 month's notice.
